Terms and Conditions for Web Development Company

1. Scope of Work: The scope of work for this contract shall be as set forth in the proposal provided by the Web Development Company (the “Company”).

2. Payment: The Company will provide Client with a detailed invoice for all services rendered in accordance with the agreed fee structure. Invoices will be rendered at the conclusion of each phase of work or on a specific time period agreed upon with the Client.

3. Representation and Warranties: The Company represents and warrants that it has the necessary expertise and will use its best efforts to complete the services in a professional and timely manner. The Client represents and warrants that all materials provided to the Company are owned by the Client or is authorized for use in connection with the services by the owner or licensee.

4. Responsibility: The Company will be solely responsible for the supervision, direction, and control of its employees and will furnish all necessary equipment, materials, and supplies necessary to perform the services.

5. Intellectual Property: All intellectual property rights relating to the services performed shall remain the property of the Client. Any intellectual property rights granted to the Company in connection with the services will be granted in writing and shall be limited to the intended use of the services.

6. Confidentiality: The Company agrees to use its best efforts to keep all Client information confidential and will not disclose any such information unless required by law.

7. Limitation of Liability: The Company shall not be liable for any damages resulting from the services provided or failure to provide services, except where such damages are directly caused by the Company’s gross negligence or willful misconduct.

8. Termination: Either party may terminate this agreement at any time for any reason upon 30 days written notice to the other party.

9. Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state where the Company is located.

10. Entire Agreement: This agreement contains the entire agreement between the parties and supersedes all prior understandings or agreements, written or oral, between the parties relating to the services to be provided.

By accepting the proposal and beginning work with the Company, the Client agrees to be bound by these terms and conditions.
